Due diligence is a key and potentially resource hungry process in a variety of types of business transactions, including outsourcing, acquisition, merger, disposal and Reinsurance to Close.  MXB Consulting provides support to management teams where these activities impact on internal management time and resource but have to be effectively managed nevertheless.

MXB Consulting has provided Due Diligence management support in outsourcing environments as well as for a Lloyd’s Managing Agency during a major Reinsurance to Close transaction.  This involved process planning, identifying potential conflicts of interest and their management including maintaining effective “Chinese walls” and managing legal risks.

The process required active liaison and control of the relationship between client staff and 3rd parties, including bidders and other parties with interests in the transaction – Brokers; Legal advisers; Actuaries and Accountants.  This was achieved by setting up internal controls and process management protocols and controlling meetings; agendas and minutes; governance; issues, risks and actions logging and control and reporting
